Chinese Philosophy Essay Essay

Three areas of philosophy emerged amidst the chaos and constant warring of the Zhou era. The three were called Confucianism, Daoism, and legalism. They were Chinese philosophies that were thought to be the best ways to rule and achieve order in the society. Confucianism believed that a ruler’s job was to set a good example, and not order. Since people were thought of as naturally good, they would following the right path based on their own conscience. Legalism was a more harsh way of ruling, led by Hanfeizi. They thought people were evil, and needed strict laws and punishment to keep them in line. Daoism was very different from either of the other two. It was led by Laozi, who taught that the best kind of government was one who governed the least. They allowed things to simply take their natural course and work themselves out. Although both Daoism and legalism were working philosophies, Confucianism was the most effective in obtaining order. At the time of the three philosophies, Ancient China was in a state of complete chaos. The duration of anarchy was named The Warring States Period, a period in which small feuding kingdoms or fiefdoms struggled for supremacy. It took place in the Zhou dynasty from 403 bc. to 221bc. The period was dominated by seven or more small feuding Chinese kingdoms. It was the age of Confucian thinkers Mencius and Xunzi, and the time when many of the government institutions and cultural patterns that would characterize China for the next 2,000 years were established. Legalism achieved what all the other philosophies strove for, unification of China. The Qin Dynasty, operating under the Legalist philosophy, finally unified China in 221 BC. Legalism was a success. However, the Qin Dynasty dissolved only 14 years after it’s founding. The Qin emperor was ruthless in his use of Legalism, punishing even small crimes with decapitation or the loss of a hand or foot. Han Feizi, legalisms founder, did not believe in gaining the respect of the people. He stated † Those who are ignorant about government insistently say: â€Å"Win the hearts of the people â€Å"† (Document H). To uphold his beliefs books and scholars which held beliefs against Legalism (such as Confucianism) were destroyed. The people were heavily taxed and forced into labor on major government projects. He successfully put the fear and respect of the law and government into the people, but it was too much. After his death, peasant rebellions caused the end of Legalism as the ruling philosophy of China. The harshness of the Legalist Qin would be remembered afterwards, and in response the following dynasty, the Han, distanced itself from Legalism and made Confucianism the official philosophy. Daoism adds spirituality to the otherwise melancholy world of Chinese philosophy. The quote â€Å"Look to simplicity; cleave the uncarved block; Diminish self and curb desires† (Document G) is a perfect example of the views held by Daoist followers. Its teachings appealed to those who wished to withdraw from the politics and deception of society. Daoism’s concepts of harmony and relativity make a lot of sense even today. The idea of using nature as the model, which people look up to, is reflected in the religion. Because of its anti-society attitude, Daoism obviously never made its way into any systems of government. It survived among the private citizens and to this day, Daoist monks still exist in China. Daoism was founded by Laozi in the sixth century BC. His teachings were passed down orally before they were compiled in the third century BC in a book called the â€Å"Classic of the Way and Its Power. † Dao means â€Å"way. † It is understood that the Dao is the underlying pattern of the universe, which can neither be described in words nor conceived in thought. The goal of Daoism is to bring all elements of existence- heaven, earth, and man- into harmony. To be in accordance with the Dao, the individual must empty himself of doctrines and knowledge, act with simplicity and humility, and above all seek Nature. The idea of turning to Nature for peace and harmony had a great effect on East Asian cultures, especially in the arts, where idealized and imaginary landscapes and natural art forms are profoundly linked to the beliefs of Daoism. At first, Confucianism was unsuccessful and Confucius, during his lifetime only managed to collect a few followers. After his death, however, his followers passed on the Confucian tradition. It survived, with a few changes, to the Han dynasty (221 BC) and became established as China’s official philosophy. From then it was firmly well established in Chinese culture, and its values can still be seen today. The Five Classics of Confucianism were works from the Zhou Dynasty, which preceded the Warring States Period. They were collected and edited by members of the original  Confucian school. After Confucianism became the official state philosophy, one had to know the philosophy well in order to gain the coveted position of government official. The Analects are a collection of sayings by Confucius, recorded by his disciples. As a result, the Analects are not a widespread proposal of Confucianism. Rather, it is a collection of quotations and stories. Because of this, Confucianism according to Confucius is open to interpretation. The main idea of the philosophy is, righteousness, relationships and generosity towards others. Since the time of the Han dynasty (206 CE) four life passages have been recognized and regulated by Confucian tradition. There are approximately 6 million Confucians in the world. About 26,000 live in North America; almost all of the remainder are found throughout China and the rest of Asia. In Chinese tradition, filial piety was the key duty. In one of Confucious’ analects he stated, † The superior man while his parents are alive, reverently nourishes them; and when they are dead, reverently sacrifices to them. His chief thought is how, to the end of life, not to disgrace them† (Document B). Being a filial son meant absolute obedience to one’s parents during their lifetime and as they grew older, taking the best possible care of them. After their death the eldest son was required to perform ritual sacrifices at their gravesite or in the ancestral temple. A son could also express his devotion to his parents by passing the Civil Service examinations, winning prestige for the whole family. Most important of all, a son had to make sure that the family line would be continued. Dying without a son therefore was one of the worst offenses against the concept of filial piety. If a marriage remained barren, it was a son’s duty to take a second wife or adopt a child in order to continue the family. Since Chinese women became part of their husband’s family through marriage, filial conduct for a woman meant faithfully serving her in-laws, in particular her mother-in-law, and giving birth to a son. By fulfilling these duties, she also gained prestige for her own family. If the mother and daughter-in-law did not get along, filial piety demanded that a man should get rid of his wife in order to please his mother. He could always get another wife, but he would only have one mother. These social rules in the culture helped in the unification of families in China Some might argue that Daoism and Legalism were more efficient ways of acquiring harmony. Legalism was the most effective way of governing a society. The legalist tradition derives from the principle that the best way to control human behavior was through written law rather than through ritual, custom or ethics. Daoism shaped Chinese life for more than 2,000 years. Daoism placed emphasis upon individual freedom and impulsiveness, non-interventionist government and social primitivism and ideas of self-transformation, and so represents in many ways the reverse of Confucian concern with individual moral duties, community standards, and governmental responsibilities. Both philosophies add up many pros, but fall short of Confucianism’s vast accomplishments. The inner pole of Confucianism was reformist, idealistic, and spiritual. It generated a high ideal for family interaction: members were to treat each other with love, respect, and consideration for the needs of all. The school of thought founded by Confucius has had the biggest impact on Chinese culture. It has lasted throughout the ages and literally pulled the Han Dynasty out of ruin and chaos. Even to this day, the influence of Confucianism can be espied in many matters of China.

Case Write-Up: The Investment Detective Essay

Case Summary The purpose of this case is to become a capital budgeting analyst and evaluate which set of free cash flows for 8 projects will result in the most effective investment for a firm’s capital. The objective given is to rank the four best that the company should accept. The case is broken down into three separate steps including the given information about estimated cash flows (inflows & outflows), determining the appropriate discount rate, and evaluating the cash flows using the IRR (Internal Rate of Return), MIRR (Modified Internal Rate of Return), NPV (Net Present Value), and other metrics. Each project is chosen solely on the basis of the quantitative analysis. Here are some factors to consider for this case: Each project has the same initial investment of $2 million; in addition, all are believed to be of the same risk class. The managers have determined that projects 7 and 8 are mutually exclusive. The issue is that the WACC has never been officially estimated and in the pas t the discount rate has been assumed at 10 percent (however, certain officers have asserted the discount rate to be higher). Ranking Projects Ranking projects simply through the inspection of cash flows is inadequate due to the time value of money and cost of capital of companies; the only piece of information that can be derived from looking at the cash flows is the amount of time it would take to be paid back (regular payback period). There are several capital budgeting tools that can be used, including IRR, MIRR, and NPV. These three can be used to see if a project exceeds the expected rate of return or the cost of capital for a company. We also refer to payback, discounted payback period, and a profitability index to help assist the decision-making process for which projects should start to commence. In addition, qualitative factors must be considered for any project given outside of this case, to cover the bases and have successful implementation. A company could find that having a negative NPV is acceptable due to the critical nature of the project. Experimenting in new markets to identify potential favorable businesses should be taken into consideration. Finally, cash flows are estimated in most projects so a  consideration has to be made for the quality of estimation. Therein lies one of the critical issues in capital budgeting; that there is a margin of error in the calculation of cash flows, whereas in the example above, the margin of error (typically larger with uncertain outcomes) could mean there would be a positive NPV for that critical project. Typically, NPV is the foremost choice for determining the investing worthiness of a specific project; NPV, determined by the sum of discounted cash flows compared against the cost of the investment. NPV allows anyone to see how much value above the initial investment. MIRR, would be the next best choice, as it is measures profitability of a project as a percentage (IRR does this as well). The reason MIRR is of higher significance is it has the extra part of assuming cash flows being reinvested at the WACC rate; additionally MIRR eliminates the problem of IRR having two potential rates. Quantitative Ranking Methods We ranked each project by the various methods stated above. Below, in Exhibit 1, are the metrics ranked by highest amount or percentage, except for payback and discounted payback periods which are ranked from low to high, signifying the shortest amount of time that the initial investment is recovered. The answer to determine which project is best to invest in is dependent on the variables and requirements that management deems necessary, meaning the qualitative content that is supplementary to the cash flow data. Typically, firms will decide to invest on the project that produces the highest NPV, and for this case if we are to rank by NPV, project #3 is the clear winner. Ranking by profitability index gives the same answer for each project number (it is indirectly related to NPV through the sum of discounted cash flow benefits). However when we look at the other values for project #3, it is  lower down the order. This is a result of the only cash flow being in the last (15th) year; due to the time value of money, this lowers the IRR and MIRR substantially, and obviously the payback period is the longest of all the projects. The next prosperous project based off of NPV but also ranked 2nd highest for IRR, MIRR, and PI, is project #4. At first glance, when considering the two mutually exclusive projects: project #7 and #8, the NPV and PI for project #8 is higher, while the IRR and MIRR are higher for project #7. Additionally the payback and discounted payback periods are shorter for project #7. This presents a dilemma in which it appears project #8 should be selected, yet #7 seems to be more favorable overall. There is a continuity of this dilemma as the cash flow streams are unequal for each project. To solve for this issue, we used a replacement chain analysis to determine which project between the two is the best investment decision. Below, in Exhibit 2, is an analysis of each project using replacement chaining. We excluded the last cash flow of $70 at T15, because for project #8’s last cash flow is after 7 years (project #7’s last cash flow is after 5 years), so we repeated that to T14. As shown above, when using the replacement chain method, we can see the change in outputs when the cash flows are repeated  through time. The decision between each project is now much clearer once the cash flows are repeated to the same* time-frame. Project #7 is the clear-cut investment decision when deciding between those two projects. Alternative Courses of Action There are always numerous ways to see a problem and decide how to react. The investor could choose any of the above mentioned methods (NPV, IRR, MIRR, payback, discounted payback, or Probability Index) to choose an investment project. Due to the mutual exclusivity of projects #7 and #8, the investor can choose whatever criteria method deemed most significant. Other factors for consideration include the project’s proposing manager’s track record for success, the proposing manager’s confidence in the project, the timing of the project’s cash flows, the project’s ability to protect market share, or the proposing division’s track record of success. Recommendation Based on these options, and the previously detailed analysis, we recommend that the project be selected based on the NPV ranking shown in Exhibit 1. With mutually exclusive projects, conflicts may arise in choosing between using the NPV, IRR, and MIRR. In this case, the NPV is the best choice for selection because it chooses the project that maximizes value for the firm. If managers are interested in the expected rate of return on the project, the MIRR or IRR will be more likely to demonstrate the rates that are actually earned if the project’s cash flows are reinvested in future projects, but this should be supplemental to the NPV during the decision process.

The Motive Behind Mergers And Acquisition INTRODUCTION Background Mergers and Acquisitions have gained substantial importance in todays corporate world. This process is extensively used for restructuring the business organizations. Some well known financial organizations also took the necessary initiatives to restructure the corporate sector of India by adopting the mergers and acquisitions policies. The  Indian economic reform since 1991 has opened up a whole lot of challenges both in the domestic and international spheres. The increased competition in the global market has prompted the Indian companies to go for mergers and acquisitions as an important strategic choice. The trends of mergers and acquisitions in India have changed over the years. The immediate effects of the mergers and acquisitions have also been diverse across the various sectors of the Indian economy. The Indian Economy has been growing at the fast rate and emerging as the most promising economy in the world. Be it in IT, RD, pharmaceutical, infrastructure, energy, consumer retail, telecom, financial services, media, and hospitality etc, there has been a sign of promising boom in the Indian economy. It is the second fastest growing economy in the world with GDP touching 8.9 % in 2010. Investors, big companies, industrial houses view Indian market in a growing and proliferating phase, whereby returns on capital and the shareholder returns are high. Both the inbound and outbound mergers and acquisitions have increased dramatically. According to Investment bankers, Merger Acquisition (MA) deals in India will cross $100 billion this year, which is double last years level and quadruple of 2005. Indias merger and acquisitions deal value in year 2010 reached almost US $50 billion which is three times of the deal value last year 2009. There were MA deals worth about $16 billion in 2009, down from close to US $40 billion in 2008. Definitions: Mergers: Mergers or amalgamation is combination of two or more companies to form as a single new company. In this process no fresh investment is made, however an exchange of shares takes place between the entities. In simple terms, a merger involves the mutual decision of two companies to combine and become one entity. Generally, merger is done between the two entities having similar size. Varieties of Mergers   Mergers can be of various types. But there are 5 main mergers varieties which are valued most in the corporate world.   Horizontal merger   Two companies that are in direct competition and share  the same product lines and markets.   Vertical merger   Two companies which are in the Value Chain. Market-extension merger  Ã‚  Two companies having same product but different target market. Product-extension merger  Ã‚  Two companies selling different but related products in the same market.   Conglomeration   Two companies with unrelated business/ industry.   Acquisitions   Acquisition means buying the ownership of one company by another company, often as the part of the growth strategy. Unlike in merger, acquisition is generally done by a large company to a small one. Acquisitions can be either friendly or hostile. Like mergers, acquisitions are actions through which companies seek economies of scale, efficiencies and enhanced market visibility. Acquisition is done either in cash or acquiring the stock of the target company or both. Distinction between Mergers and Acquisitions   Mergers and Acquisitions are often uttered as one and the same and considered to have the same meaning. But the terms merger and acquisition are two different term meaning.   When one company takes over another independent company and clearly established itself as  the new owner, the purchase is called an acquisition. From a legal point of view, the  target company  ceases to exist and the buyer or the acquirer possesses the full control of the business and the buyers  stock continues to be traded, then it is acquisition.   Regardless of the type of the strategic alliance they all have one purpose in common. They are all meant to create synergy that makes the value of the combined companies greater than the sum of the two parts. Synergy Synergy  is the force that is obtained when two or more components meet together to produces an exceptional result which when done solely cannot be achieved. In a business synergy takes the form of enhanced performance, increased profitability and exceptional cost reduction. By merging, the companies hope to benefit from the following:   Staff reductions Economies of scale   Acquiring new technology Improved market reach and industry visibility Importance of the study When a company wants to expand, there are various ways its can do. They can achieve the growth either by capturing the market share or by growing through strategic alliances. The main objective of the merger or acquisition is to achieve growth and synergy, economies of scale and capture or expand the market share. Buzz of merger and acquisition often creates hype in the financial market about the acquirers stock price. While most empirical research on merger focus on daily stock return surrounding announcement date, a few studies also look at long term performance of term performance of acquiring firm after merger.  [1]  Not only that, the performance of the company as a whole is also a matter of question mark. Will the company be able to perform better than it is doing or not? Problem Statement Many firm prior to merger and acquisition have an expectation to create a synergy from merger and acquisition. The main motive behind MA is to create efficiencies in the business and expansion of the business. But they most of the time ignore the fact that the effect of merger and acquisition has direct correlation with the value of the acquirers company and the stock price. The other problem that is to be considered is the financial risk associated with the MA. Research Objective The objective of this study is to gain the deeper and clear knowledge of the merger and acquisition on the acquiring firm. It also aims at the financial risk that a company may face post merger/ acquisition asa well as the long term performance of the acquirer. The objectives are as follows: To examine the effect of EPS myopia on the return of acquiring firms in mergers. Evaluate the effect on the stock price of the acquiring company post merger and acquisition. Critically evaluating if the shareholders of the acquiring companies experience wealth effect as a result of MA. The expected long term performance of the acquiring firm. Study of the financial risk pertaining to the merger and acquisition. Research Question What is the motive behind Merger and Acquisition? What is the effect on the stock price of the acquirer pre and post MA? Does the buzz create the bubble effect on the market or is it long lasting? What is the wealth effect of the acquirer firm post and pre MA? What is the trend of MA in Indian market? Drivers of MA in India What are the effects of MA to the competitors? Effect of the tax to the government post merger and acquisition. Limitations of the Study No proper information on the companies is found except for their Balance Sheet and Income Statement. This study is based on secondary database, so errors in the data could affect the results of the study. External factors such as economic conditions, regulatory changes etc are not taken into consideration. An overview of the Study This dissertation is divided into five chapters. The first chapter deals with the background information, problem statement, objective of the study, importance of study, research question limitation of the study. The second chapter deals with literature review. This chapter indicates the theoretical framework of the valuation method of Merger and Acquisition. It shows the detail description of the past research that has been done on the topic and discusses the outcome of the study. The third chapter deals with the research methodology of the dissertation. It deals with the Research method used for the data and information collection. It includes sample selection/design procedure, data collection and data analysis tools used in the dissertation. In this part assumptions had been made where there is lack of appropriate data and information. The fourth chapter deals with analysis and interpretation of the financial data that are used to achieve the objectives of the dissertation. This section mainly deals with the findings from the study and also focuses on the analysis and its results. The fifth and the last chapter of this dissertation present the findings of the study, recommendation of the study to the investors, financial managers regulators. It also concludes the suggestions for future research. Chapter II Review of the Literature 2. Literature Review Many authors and writers have written lot about merger and acquisition and its impact on the performance of the company as well as on the economy. A great deal of research has been carried out on the performance of the corporations involved in the merger and acquisition. When a company wants to jump start a long term growth or boost up the corporate performance, MA may seem to be the best option. Yet study after study puts the success rate of MA lies just between 20% and 30%. A lot of researcher had tried to explain the abysmal statistics, usually by analyzing the attributes of the deals that worked and those that didnt. What is lacking is the robust theory that identifies the causes of those success and failures.  [2]   2.1 Merger and Acquisition: Conceptual Review Farlex Financial Dictionary  [3]  has defined A decision by two companies to combine all operations, officers, structure, and other functions of business. Mergers are meant to be mutually beneficial for the parties involved. In the case of two publicly-traded companies, a merger usually involves one company giving shareholders in the other its stock in exchange for surrendering the stock of the first company Pratap G. Subramanyam (2005) has stated merger as in the term associated with the integration of one company into another. The merging company should exist thereafter and all its assets and liabilities get legally vested in the merged company. This means that the merger means amalgamation of the assets of the two or more companies to form a new company serving the similar or different purpose. 2.1.1 Recognition of amalgamation (merger) by Indian Statutory Bodies The Company Act of India does not define an amalgamation or a merger. Therefore, the term are being interpreted as being included in the term arrangement as defined in Section 390(b). This is vindicated by the fact that Section 394 talks about arrangement that are in nature of amalgamation of two or more companies. It is possible under Companies Act for two or more companies to amalgamate using the shareholder approval route under Section 293(1)(a) though such route is never adopted. The more appropriate route is to get court order under Section 394 of the Act, which has been specifically enacted to enable amalgamations. Section 390 This section provides that The expression arrangement includes a reorganization of the share capital of the company by the consolidation of shares of different classes, or by the division of shares into shares of different classes, or by both these methods Section 394 This section contains the powers while sanctioning scheme of reconstruction or amalgamation. Under the Income Tax(IT) Act, 1961 Section 2(1B) the word amalgamation in relation to companies means the merger of one or more companies to another company or the merger of two or more companies to form one company so that: All the property of the amalgamating company or companies before the amalgamation becomes the property of amalgamating company by virtue of the amalgamation. All liabilities of the amalgamating company or companies immediately before the amalgamation become the liabilities of amalgamating company by the virtue of amalgamation. Accounting Standard AS-14 defines amalgamations as those pursuant to the provisions of the companies Act or any other statute, which may be applicable to the companies. Therefore, it applies to all transactions that come under the purview of Section 391-394 of the Companies Act that relate to integration of two or more companies. AS-14 categorizes amalgamation into two categories: (a) amalgamation in nature of merger (b) amalgamation in nature of purchase. An amalgamation fall into former category if: All assets and liabilities of transferor company become after amalgamation, the assets and liabilities of the transferee company. Shareholders holding not less than 90% of the face value of the equity share of transferor company (excluding the shares held by the transferee company), become the equity shareholder of the transferee company by virtue of the amalgamation. The consideration for the amalgamation, receivable by those equity shareholders of the transferor company who agree to become the equity shareholder in the transferee company, is discharged wholly by issue of shares (except for fractional shares that may be settled in cash). The business of the transferor company is intended to be carried on by the transferee company. Acquisition is the mechanism by which companies change hands and through transfer of ownership of share or transfer of control. Acquisition means the purchase of or getting access to significant stakes in a company, often making such acquirer a major shareholder or force in the company. According to Dictionary of Financial Term  [4]  If a company buys another company outright, or accumulates enough shares to take a controlling interest, the deal is described as an acquisition. For example, if Corporation A buys 51% or more of Corporation B, then Corporation B becomes a subsidiary of Corporation A, and the activity is called an acquisition. A single investor may buy out a publicly-traded company; one calls this going private. Acquisitions occur in exchange for cash, stock, or both. Acquisitions may be friendly or hostile; a friendly acquisition occurs when the board of directors supports the acquisition and a hostile acquisition occurs when it does not. 2.1.2 The Acquisition and Takeover Code in India After the advent of the SEBI, introduced in 1994, there was a concerted attempt at formulation of a comprehensive framework under which acquisition and takeover could be made in existing listed companies. However the takeover code does not apply to unlisted companies and continue to be regulated by the provision of the Company Act. Listed companies are currently governed by the provision of Takeover Code, clause 40A and 40B of the Listing Agreement of the stock exchange and Section 108B and 108D of the Companies Act as regards acquisition and takeovers. Under the provision of Section 108B, corporate under the same management holding whether singly or in aggrete.10% or more of the nominal value of the subscribed equity share capital of the any other company shall, before transferring one or more such shares, give to the central government an intimation of its proposal to do with the prescribed details. Section 108D provides the similar provision wherein the Central Government can act suo moto of any transfer of a block share in a company. All the Sections under 108 are backed by Section 108G. Section 108G Applicability of the provisions of sections 108A to 108F.†The provisions of sections 108A to 108F (both inclusive) shall apply to the acquisition or transfer of shares or share capital by or to, an individual firm, group, constituent of a group, body corporate or bodies corporate under the same management, who or which† (a) is, in case of acquisition of shares or share capital, the owner in relation to a dominant undertaking and there would be, as a result of such acquisition, any increase†Ã‚   (i) in the production, supply, distribution or control of any goods that are produced, supplied, distributed or controlled in India or any substantial part thereof by that dominant undertaking, or   (ii) in the provision or control of any services that are rendered in India or any substantial part thereof by that dominant undertaking; or   (b) would be, as a result of such acquisition or transfer of shares or share capital, the owner of a dominant undertaking; or   (c) is, in case of transfer of shares or share capital, the owner in relation to a dominant undertaking. The SEBI Takeover Code brought in several new features into acquisition law which were not present in Clause 40A and 40B. The basic theme of the code is to provide for fair play and transparency in acquisition and takeover but at the same time to ensure that they are not stifled into extinction. 2.2 Differentiation of Merger and Acquisition In general Mergers and Acquisitions are used interchangeably, but they have a subtle differentiation in there meaning. Weston and Copeland (1992) distinguished merger and acquisition: merger as a transaction between more or less equal partners, while acquisitions are used to denote a transaction where a substantially bigger firm takes over a smaller firm. Their basis of distinguish was the size. But there are other factors apart from size that denotes the differences between merger and acquisition. Asquith Mullins (1986) define mergers and acquisitions on basis of share distribution. When two firms merge, shares of both are surrendered and new shares in name of the new firm will be issued. Unlike in merger, shares of the acquiring firm are not surrendered but traded in the market prior to the acquisition and continue to be traded by the public after the acquisition. The shares of the target firm cease to exist publicly. Motives behind Merger and Acquisition There are three major motives for the mergers and takeovers: Synergy, Agency, Hubris Synergy motive means that the sum total return/value from the integration of two or more companies should be greater than that from the individual company. Elazar Berkovitch (1993) suggests that the takeovers occur because of economic gains that results by merging the resources of the two firms. They even concluded that total gains from MA are always positive and thus can say that synergy appears. The agency motive suggests that takeovers occur because they enhance the acquirer managements welfare at the expense of acquirer shareholders. Elazar Berkovitch and M. P. Narayanan (1993) suggested three major motives for mergers and acquisitions: synergy, agency and hubris. The synergy motive suggests that the takeovers occur because of economic gains that results by merging the resources of the two firms. The agency motive suggests that takeovers occur because they enhance the acquirer managements welfare at the expense of acquirer shareholders. The hubris hypothesis suggests that managers make mistakes in evaluating target firms, and engaged in acquisitions even when there is no synergy. Khemani (1991) states that there are multiple reasons, motives, economic forces and institutional factors that can be taken together or in isolation, which influence corporate decisions to engage in MAs. It can be assumed that these reasons and motivations have enhanced corporate profitability as the ultimate, long-term objective. It seems reasonable to assume that, even if this is not always the case, the ultimate concern of corporate managers who make acquisitions, regardless of their motives at the outset, is increasing long-term profit. However, this is affected by so many other factors that it can become very difficult to make isolated statistical measurements of the effect of MAs on profit. The free cash flow theory developed by Jensen (1988) provides a good example of intermediate objectives that can lead to greater profitability in the long run. This theory assumes that corporate shareholders do not necessarily share the same objectives as the managers. The conflicts between these differing objectives may well intensify when corporations are profitable enough to generate free cash flow, i.e., profit that cannot be profitably re-invested in the corporations. Under these circumstances, the corporations may decide to make acquisitions in order to use these liquidities. It is therefore higher debt levels that induce managers to take new measures to increase the efficiency of corporate operations. According to Jensen, long-term profit comes from the re-organization and restructuring made necessary by takeovers.

Liam McCormicks Church Architecture

Liam McCormicks Church Architecture Fig 1 Photograph: St Aengus, Burt ________________ Word Count: 2,439 Liam McCormick is one of the most recognised architects in modern Irish church architecture. He has introduced design principles in his buildings, which were not only innovative and unique, but were somewhat radical in Ireland at that time. One of the most famous churches that he designed was St. Aengus Church, Burt that was built over the period of 1964-67. When examining Liam McCormicks work at Burt we can see similarities between his ideologies and design principles that other famous architects have also employed in their architectural work. However, the question is, who and what helped inspire him? What are the ideas, materials and methods behind the overall design? All these questions culminate in the construction of this remarkable church. McCormick carefully selected a site, which lies directly below the ancient fort of Grianan an Aileach. The land itself stretches down to Lough Swilly below and benefits from the impressive views of the surrounding countryside. What I find most interesting is McCormicks distinct ability to read a site and produce remarkable buildings from that. This alone sets him apart from many of his Irish church architectural peers. It is obvious that when he designed Burt Church he had taken inspiration not only from other architects but also from the surrounding context in which the church integrates itself. With the site being located adjacent to the Grianan an Aileach fort, McCormick has taken the fundamentals from its historic design and implemented them within his modern church concept. By doing so he has blended historic precedent with the functional and aesthetic requirements of what he believes a modern church should have. There is no doubt that Grianan is the inspiration behind the circular form of the church at Burt. The idea of a circular church was radical and it had not been attempted in Ireland before.[1] With the church being integrated with the surrounding landscape, McCormick has ultimately made the church and the land at one with each other. This has a religious signification of the church being part of Gods Earth. This allows the feeling that the parishioners can be closer to their faith, or feel more at home within this type of church. McCormick himself commented on the church and how it integrated with the land and also the great attention to detail that was employed by all that worked on the building. It is not often that a building is found, such as the little country church, which speaks so clearly of the loving care which has been lavished on it by the architect, builder, client, artists, craftsmen and everyone connected with it. This is as perfect an example of integration with its magnificent site, as it is, probably possible to achieve.[2] McCormick has created a romantic relationship of form and material with the historic fort, which lies above Burt church. McCormick has sensitively merged the church into the site, by choosing to use natural stone for the walls and copper for the roof. In utilising these materials McCormick has helped blend the church into the ground in which it resides. The church has been cleverly designed so that you can approach it from both sides. There is a path from the car park directly opposite and gentle rising steps from the road below which congregate at a cobble edged circle outside the entrance to the church. In a way McCormick is using his design to symbolise bringing people together from all directions of life, something that both religion and the church have aimed to achieve. However, they might not have succeeded successfully in this venture. Fig 2 Photograph: Church approach from roadway  and car park. St Aengus, Burt. When you first approach the church you feel like you are setting foot into another world, or have simply stumbled on to some hobbits dwelling from Lord of the Rings. Though as you climb the steps you get a feeling that it is filled with delightful architectural moments, humble and honest in their appearance, but cleverly resolved in the craft of their creation. McCormick achieves a sense of arrival with this skilfully designed approach. His approach leads you to a concrete canopy where a pair of solid doors covered with beaten cooper with glazed side panels lie below. The low-ceilinged entrance lobby emphasises the height and size of the circular body of the church. McCormick has carefully thought through every little detail of this building and how each element will affect the appearance, feel and flow of the building to its recipients. The buildings circular plan has a clever second internal circular wall, which is placed loosely to the exterior; this in turn creates not only the circular external faà §ade but a circular internal layout disguising the auxiliary accommodation for the church, discretely from the congregation. Fig 3 Plan: St Aengus, Burt. The circular form of Burt means that there is no distinctive front or rear elevation; it also means there are no hidden external areas. Walking around the building reveals details that are both clever and subtle, and which contribute to the creation of a building that is at once vernacular and innovative. The external stonewall is constructed with a barrel like profile (inspired by Grianan an Aileach). A band of brightly coloured stained glass runs the entire circumference of the church on top of the inner circular wall. The outer circular stonewall carries the secondary glazing through which light penetrates the stained glass allowing the chapel to be flooded with coloured light that gives an almost kaleidoscopic effect. With the ring of glazing being positioned between the roof and the external walls there is an impression that the roof is floating, this is amplified during the hours of darkness when the lights are on. Similar to Le Corbusiers work at Ronchamp, although comparing the two would be like comparing Salisbury Cathedral to the Notre Dame. The sculpted copper roof is perhaps the most remarkable element of the building, which climaxes in an asymmetrically placed spire. The position of the spire is dictated by the location of the altar inside the church, the glazed lantern in the spire brings natural light down into the church over the altar resembling something out of a film. McCormick has purposely designed this in order to create dramatic effect within the church. The light from God so to speak, giving a very religious feel to the church. If the lantern had lit the entire church, the same effect wouldnt have been possible. This is also similar to Le Corbusiers design in Ronchamp. McCormick made the roof part of the overall composition, a piece of art in which to attract people. With the roof being visible for miles in the surrounding area, he created a roof, which took a sculptural form, with expression in material. Within the church there are a number of structural pillars placed throughout which a appear to be not in contact with the roof by making them thinner and darker at the top, this also makes the roof appear to float, as there are no lines linking the glass to the roof. To the exterior the metaphors continue, there are a number of pools strategically placed around the building to catch the rainwater from the roof that is distributed via concrete spouts placed above the stonewall. It is Christian belief that water is a blessing and with this in mind it is as if the church is being blessed when its raining. Which as many know is quite often in Ireland, some say we are born with webbed feet! This is yet another incorporation of religion within the overall design. Fig 4 Photograph: Detail of circular pool and  rainwater spout. St Aengus, Burt. McCormicks handling of rainwater demonstrates the thought process that went into making sure each detail was correct. He also took great care and consideration when selecting the materials to be used, he salvaged cobblestones locally to use for the perimeter of the church, which is paved with granite cobblestones. McCormick felt that his churches should be socially correct, that the church should reflect the society in which it was to serve both by means and nature. In other words, if the society was mainly lower class, there was no point in building a church that portrayed wealth that would make the societys congregation feel both uncomfortable and unwelcome, not to mention standing out like sore thumb from the surrounding area. McCormick carefully put forward an argument for modernism within the Irish Church architecture, he used authentic materials, which would be familiar to the community that the church would serve, and also suitable to the climate in which it was to withstand. He used modern structural techniques without becoming alien to the craftsmen employed to carry out the construction. After all, he wanted to create a piece of art and architectural beauty that was fitting to Donegal at that time, and in doing so he required excellent craftsmanship in order to achieve his masterpiece. McCormicks design of Burt demonstrates an enthusiasm to develop a modern church architecture appropriate to the Irish context. McCormicks masterly use of materials and high quality of workmanship, with the attention to detail evident in the construction of the building, are remarkable and were ground-breaking at the time. There is an essence from his designs that he draws extensively on things, which interest him outside of his architectural design. He obviously has a great love for the Irish landscape and what elements make up such landscape; the stones, rocks and the rain! Liam McCormick manages to invoke an emotional reaction from those who experience his church. In some respects its seems like he is playing God with architecture. People respond emotionally to his buildings, which is the rarest and highest praise any architect can receive.[3] It is clear McCormick was a collector of ideas. He studied and visited European works, it was the backbone of his modern approach to design; he was enlightened with architectural ideas and solution from abroad.[4] He then brought this forward thinking approach to Ireland within his church designs. His process of originality and thinking is what created the architecture that Liam McCormick produced, and what sets it aside from other architecture, in particular the tradition of Hand-me-down church architecture in Ireland.[5] Although many of his ideas where of original nature, he took great influence from other architects and allowed some of their ideologies and design principles to influence his own work. Corbusier, Gropius and Alvar Aalto were among McCormicks stated influences. He particularly admired Aaltos sense of scale, location and economy.[6] McCormicks architecture can be seen as somewhat a conversion to Functionalism.[7] His buildings are not only functional for the job they are intended for but also embrace an organic architecture that can be compared to ideologies of Alvar Aalto. To everything its proper place, a setting dictated by its owns demands, its own aesthetic. And everything should be connected with the community served by the town [8](Aalto 1924:20). In Aaltos own words: Nothing does a town greater honor than a well-developed public life and functional public places [9](Aalto 1924: 20). Both Alvar Aalto and Liam McCormick share the unprecedented idea that society lives and survives by the architecture that is created. In Aaltos article the Humanizing of Architecture[10] he examines how human beings react to forms and construction. McCormick also believes in creating architecture that pulls on the emotions of the occupant, just as Aalto designed The Paimio Sanatorium, he tried to emphasise the environmental qualities of where his architecture was to reside. Also like Alvar Aalto, McCormick believed in a total work of art, creating a picture as a whole, he was a great believer in incorporating art within his buildings and this is notably present at Burt, with prominent Irish artwork included. Even though McCormick took influence from other Architects, this did not make his work any less original. The concept that being influenced by a person or piece of work can lead to either imitation or a piece of work that to some extent can be taken to a different level. This is debated prominently in the Anxiety of Influence, of how influence doesnt necessarily have to be a bad thing nor does it mean that the subsequent piece of work will be better for it. But poetic influence need not make poets less original; as often it makes them more original, though not therefore necessarily better.[11] McCormick has not only managed to create an original piece of Irish church architecture but has also managed to avoid the pressure of influence, which could have made him imitate previous architects work. As a result he has created a lasting piece of modern architecture that has added value not only to its landscape but also the local society. The design of Burt Church actually helps enhance the religious message in which the church bestows on to its patrons. In conclusion, even the most creative of people whether they are architects or artists, all take influence from others work. In some respects, it is a degree of respect/admiration of previous work, in others it is simply a way to generate further ideas or take an idea further than before. McCormick certainly has done this with Burt Church, with his clever use of material and form to blend the church with the surrounding landscape but yet give a hint of pleasure and intrigue which the use of the sculptured roof alludes to. He has managed to not only create a radical new Irish church architecture but has developed ideas from others such as Alvar Aalto, in order to create a complete masterpiece of work.
